OTIUM
OTIUM | Formation and Formalization

Incorporating a company shouldn't just mean getting a tax ID.

We support the formal birth of your company in Bolivia: we coordinate the legal side with an associated law firm and handle commercial registration, NIT (tax ID), initial tax setup, invoicing and document organization so you start on a clear footing.

What problem we solve

Disorder from day one drags on later.

When each procedure is handled separately, the company may be formally created but without a clear view of its obligations, documents, permits and next steps.

01

Isolated procedures

Legal, registration, NIT and invoicing move forward without a single path or overall coordination.

02

Unclear obligations

The NIT is opened, but the client doesn't always understand which obligations arise from that moment.

03

Scattered documents

Drafts, powers of attorney, registrations, certificates and access end up spread across emails, chats and personal folders.

04

Permits discovered late

Licenses, labor registrations, Customs, RUEX or other requirements come up when there's already pressure to operate.

What we do for you

A single process to organize the company's start.

We integrate the main components of incorporation and formalization, defining from the start what is part of the base service and what requires additional treatment.

01

We assess the case

Business activity, partners, expected structure, urgencies, available documentation and initial needs.

02

We coordinate the corporate side

We work with an associated law firm on the draft, deed, powers of attorney and other applicable corporate documents.

03

We handle SEPREC

We carry out the commercial registration for the structure type defined for the case.

04

We open the NIT (tax ID)

We handle registration with the National Tax Service and the company's initial tax setup.

05

We set up invoicing

We carry out the initial setup according to the assigned invoicing type and applicable requirements.

06

We organize documents

We centralize the main documentation in a basic digital repository so it can be found and rebuilt.

The work process

From defining the case to a base ready to operate.

This flow is the core of the service: it shows how we connect the corporate decision with registration, taxes, invoicing and documentation, without treating each step as an isolated task.

01

Understand the project

We review activity, partners, location, planned structure and start date.

02

Define the path

We identify the structure, main documents and possible complementary procedures.

03

Legal incorporation

We coordinate the applicable corporate documentation with the associated law firm.

04

Registration and NIT

We handle SEPREC, tax registration and initial setup.

05

Initial invoicing

We set up the starting point according to the assigned invoicing modality.

06

Organized handover

We centralize documents and make obligations and next steps visible.

Structures we can support

The company type is assessed before starting the procedure.

The scope can apply to different forms of business organization. Each case is reviewed according to activity, partners, documentation, requirements and applicable regulations.

Sole trader / Single-owner company Limited Liability Company — S.R.L. Corporation — S.A. General Partnership Limited Partnership Partnership Limited by Shares Mixed Economy Company — S.A.M. Housing Financial Entity, when applicable State Company Mixed State Company Mixed Company Intergovernmental State Company Company incorporated abroad

For regulated, state or foreign structures, the scope is defined after reviewing specific requirements and available documentation.

What the client receives

Documents and registrations that help you operate, not just file.

Deliverables depend on the company type and contracted scope, but the logic is always the same: registration, tax base, invoicing and organized evidence.

Main deliverables
Corporate documentationPrepared or reviewed through the associated law firm, as applicable.
SEPREC registrationCommercial registration of the company according to the defined structure.
NIT and initial tax setupRegistration with the National Tax Service and initial compliance base.
Invoicing setupInitial setup subject to the assigned invoicing type.
A base to continue
Basic document repositoryMain documents centralized from the start.
Initial obligations identifiedA practical reading of what the company must consider when starting operations.
Visible next stepsPermits, registrations or additional procedures that may apply.
Possible continuity with OTIUMAccounting, tax management, payroll or document management are contracted separately.
Basic document model

The company starts with its documents in one place.

The repository doesn't replace an advanced document implementation. Its purpose is to keep the company from starting with corporate and tax documents and access credentials spread across many places.

Digital approach: when the client's environment allows it, we can use Microsoft 365 / SharePoint to support the basic repository.
Legal and corporate documents
NIT and tax documents
SEPREC and main registrations
Powers of attorney, certificates and invoicing documentation
Credentials and relevant communications
Clear responsibilities

We coordinate the process; the client provides decisions, documents and signatures.

Clarity about roles avoids rework and lets each stage move forward with the information it really needs.

When the case requires special treatment

Some procedures are assessed and quoted separately.

Operating license, business bank account opening, labor registration, Health fund, Gestora, Ministry of Labor, municipal or departmental permits, Customs procedures, RUEX, sector permits, import or export and other registrations are not automatically part of the base service.

Foreign companies: they're assessed case by case, especially when they require attorneys-in-fact, apostilles, legalizations, documents issued abroad, bank account opening or other particular conditions.
What changes

From scattered procedures to a structured start.

The expected result isn't “zero problems”; it's a company that starts with more order, document traceability and clarity about what to do next.

Without a structured process
Separate proceduresEach procedure is handled without a shared view of the startup.
Scattered documentationFinding powers of attorney, registrations or access depends on people and loose folders.
Obligations discovered latePermits or registrations come up when operations already need them.
Reactive startThe company reacts to emergencies instead of following a defined path.
With OTIUM
Coordinated pathCorporate, registration, taxes, invoicing and documents connect within the same process.
Document baseThe main documents are centralized from the start.
Visible next stepsComplementary procedures are identified before they become urgent.
Better continuityThe company is ready to move on to accounting, taxes, payroll, banking or additional permits.
How we start

Let's define the right path before starting the procedures.

First we understand what the company wants to do, who is involved, where it will operate and what it needs to start. With that information we define the base scope, required documents and complementary procedures that may apply.
